IMPORTANT NOTICE ABOUT DISPUTE RESOLUTION
Section 16 contains a binding arbitration agreement and a class
action waiver that affects your legal rights.
1) ACCEPTANCE OF TERMS
By:
(a) using the Site, or
(b) placing an order, or
(c) clicking a box indicating you accept these Terms,
you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Site or purchase Products.
2) ELIGIBILITY
You must be at least 18 years old (or the age of majority where you live) to purchase. Our Products and Services are intended for adults.

4) ORDER PROCESS; ORDER ACCEPTANCE
Your order is an offer to purchase. We may accept or reject any order in our discretion. An order is considered accepted when we:
- charge your payment method, and/or
- ship the Products.
We may cancel or limit orders for fraud prevention, inventory issues, pricing errors, or other reasons. If we cancel after charging you, we will refund the amount paid.
5) PRICING, PROMOTIONS, AND BILLING
Prices are shown in USD unless stated otherwise.
Taxes (if any), shipping, and fees are shown during checkout.
Promotions and discounts may change at any time and may have
limits.
If you use Buy Now Pay Later (BNPL) options (such as Klarna or
Afterpay), your agreement is with the BNPL provider as well as
with us, and BNPL provider terms apply.
6) PAYMENT METHODS
We may accept credit/debit cards, PayPal, and other payment methods offered at checkout.
7) SHIPPING, DELIVERY, AND RISK OF LOSS
7.1 Shipping Regions
We currently sell to the United States only and ship to all U.S.
states and the District of Columbia.
7.2 Shipping Origin
Orders may ship from our network of fulfillment partners and
warehouses, which may include international fulfillment
(including Asia/China).
7.3 Estimated Delivery Times
Estimated delivery times are shown at checkout and/or in our
Shipping Policy. They are estimates, not guarantees, and may
vary due to carrier delays, customs/processing, weather events,
peak seasons, or address issues.
7.4 Address Accuracy
You are responsible for entering a complete and accurate
shipping address. If a package is returned due to an incorrect
or incomplete address, we may require you to pay reshipping
costs.
7.5 Risk of Loss
Risk of loss transfers to you upon delivery to the shipping
address provided in your order.
8) RETURNS, REFUNDS, AND EXCHANGES (SUMMARY)
Our return rules are in our Return & Refund Policy and are incorporated into these Terms. Key points (summary):

service with separate terms ("Shipping Protection Terms").
Shipping Protection is not an insurance policy unless we
explicitly state the insurer/underwriter and provide policy
details.
10) WARRANTY (INCLUDING EXTENDED WARRANTY ADD-ON)
Our warranty terms are provided in our Warranty Policy
(incorporated by reference).
If an Extended Warranty option is offered at checkout, it
extends coverage from our standard warranty period to the stated
extended period under the Warranty Policy.
11) PRODUCT USE, SAFETY, AND DISCLAIMERS
11.1 Safety; Adult Supervision
Some Products may pose hazards if misused. Keep Products away
from children unless used under adult supervision.
11.2 Emergency Products / No Guarantee of Outcome
Emergency preparedness products reduce risk but do not eliminate
it. We do not guarantee survival, safety, health outcomes, or
that Products will perform in all real-world emergencies.
11.3 Water Filtration Products
Water filtration performance depends on the source water, usage,
maintenance, and conditions. Follow all included instructions.
If you have concerns about water safety in a specific scenario,
seek local guidance.
11.4 Medical Disclaimer
Products are not medical devices and are not intended to
diagnose, treat, cure, or prevent any disease or condition.
11A) ENHANCED PRODUCT LIABILITY DISCLAIMER FOR EMERGENCY PRODUCTS
PRODUCTS DESIGNED FOR EMERGENCY USE ONLY
The products sold by Alpha Performance USA LLC (doing business as Quiet
Protector), including but not limited to TerraShell Emergency
Thermal Bivys and TerraPore Water Filtration Straws, are
designed and intended for use in emergency and survival
situations only. These products are not substitutes for
professional rescue services, medical attention, or permanent
solutions to shelter and water needs.
YOUR USE OF OUR PRODUCTS IS ENTIRELY AT YOUR OWN
RISK.
Alpha Performance USA LLC expressly disclaims any responsibility for any
damage, injury, harm, illness, cost, expense, or liability
arising out of or related to your use or misuse of these
products. All products are provided on an "AS IS" and "AS
AVAILABLE" basis, without warranty of any kind, whether express,
implied, or statutory, including but not limited to warranties
of merchantability, fitness for a particular purpose, title,
accuracy, non-infringement, or quality.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALPHA PERFORMANCE USA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:
- Personal injury, property damage, loss of life, illness, infection, hypothermia, dehydration, or any other harm
- Your use or inability to use the Products
- Any defect, error, or malfunction in the Products
- Any reliance on the Products as your sole means of survival, shelter, or water purification
- Use of the Products in a manner inconsistent with the provided instructions
- Use of the Products beyond their stated capacity or lifespan
LIABILITY CAP
IN NO EVENT SHALL ALPHA PERFORMANCE USA LLC'S TOTAL LIABILITY EXCEED THE
AMOUNT YOU PAID FOR THE PRODUCT(S) IN QUESTION.
CUSTOMER ACKNOWLEDGMENT AND INDEMNIFICATION
By purchasing, receiving, or using any product from Alpha Performance USA LLC, you acknowledge that you have read, understood, and agreed
to this disclaimer. You agree to assume full responsibility for
your safety and the safety of others when using our products.
You further agree to indemnify, hold harmless, and defend
Alpha Performance USA LLC, its officers, employees, agents, successors, and
assigns from and against any and all claims, demands, losses,
damages, rights, and actions of any kind, including but not
limited to property damage, personal injury, illness, and death,
that either directly or indirectly arise from your use of the
products.
IMPORTANT SAFETY NOTICE
Our products are designed to assist in emergency preparedness
but do not guarantee survival in any situation. Always call 911
or emergency services immediately in life-threatening
situations. Never rely solely on these products as your only
means of protection, shelter, warmth, or clean water.
JURISDICTIONAL VARIATIONS
Some jurisdictions do not allow limitations on implied
warranties or exclusion of certain damages. If you are located
in such a jurisdiction, some of the above limitations may not
apply to you.
12) USER CONTENT (REVIEWS, COMMENTS)
If you submit reviews or content, you grant us a non-exclusive,
worldwide, royalty-free license to use, reproduce, and display
that content in connection with our business, subject to
applicable law.
Do not submit unlawful, defamatory, or infringing content. We
may remove content at our discretion.
13) PROHIBITED USE
You agree not to:
- violate any law or regulation
- attempt to gain unauthorized access to the Site
- interfere with Site security or functionality
- use the Site to transmit malware or abusive content
14) DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY PROVIDED IN OUR WRITTEN WARRANTY POLICY (IF
ANY), AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND
PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
Some states do not allow certain disclaimers, so some of the
above may not apply to you.
15) LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) THAT ARE THE SUBJECT OF THE CLAIM.
Nothing in these Terms limits liability that cannot be limited under applicable law.
16) DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY.
16.1 Informal Resolution First
Before starting arbitration, you agree to contact us at
support@quietprotector.com with a description of the issue and
the relief requested.
We will attempt to resolve the dispute within 30 days.
16.2 Agreement to Arbitrate
Except as stated below, you and Quiet Protector agree that any
dispute arising out of or relating to these Terms, the Site, or
your purchase will be resolved by binding arbitration on an
individual basis, and not in court.
This arbitration agreement is governed by the Federal
Arbitration Act.
16.3 Exceptions
Either party may:
(a) bring an individual claim in small claims court if it
qualifies, or
(b) seek injunctive relief to stop misuse of intellectual
property.
16.4 Arbitration Provider and Rules
Arbitration will be administered by the American Arbitration
Association ("AAA") under its applicable Consumer Arbitration
Rules.
16.5 Location / Format
Arbitration will be conducted:
- remotely (video/phone) OR
- in your county of residence,
unless you and we agree otherwise.
16.6 Fees
We will pay arbitration fees as required by AAA consumer rules,
unless the arbitrator determines your claim is frivolous.
16.7 Class Action Waiver
YOU AND QUIET PROTECTOR AGREE THAT EACH MAY BRING CLAIMS AGAINST
THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF
OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR
REPRESENTATIVE ACTION.
16.8 Opt-Out
You may opt out of arbitration within 30 days of your first
purchase by emailing support@quietprotector.com with the subject
"Arbitration Opt-Out" and including your name and order
number.
Opting out will not affect any other parts of these Terms.
16.9 Mass Arbitration / Batch Procedure (Optional)
If 25 or more similar arbitration demands are filed and are
coordinated, the parties agree to use a fair batching
process:
(a) the parties will select a reasonable number of cases for
initial resolution ("bellwethers"),
(b) remaining cases will be stayed while bellwethers proceed,
(c) the parties will participate in mediation after initial
outcomes,
(d) if not resolved, remaining cases proceed in batches.
If this section is found unenforceable, it will be severed, and
the remaining arbitration provisions remain in force.
16.10 Severability
If the class action waiver is found unenforceable, the
arbitration agreement will be unenforceable as to the class
claim only.
17) PROTECTOR'S CIRCLE VIP MEMBERSHIP — TERMS AND CONDITIONS
17.1 MEMBERSHIP OVERVIEW
The Protector's Circle VIP Membership ("Membership") is a
subscription program offered by Quiet Protector that provides
members with ongoing benefits in exchange for a recurring
membership fee.
17.2 MEMBERSHIP FEE AND BILLING
Pricing
• Standard Membership Fee: $29.99 per month
• Billing Cycle: Every 12 weeks (84 days)
• Amount Charged: $89.97 every 12 weeks ($29.99 x 3 months)
Free Trial Period
• New members receive a 14-day free trial period
• Trial begins on the date of enrollment
• First charge of $89.97 occurs on day 15 after enrollment
• During the trial, members have full access to all membership
benefits
Recurring Billing
• After the trial period, your payment method will be
automatically charged $89.97 every 84 days (12 weeks)
• Billing will continue until you cancel your membership
• You authorize Quiet Protector to charge your payment method on
file for all applicable fees
Payment Method
• You must provide a valid credit card or other accepted payment
method
• You are responsible for keeping your payment information
current
• If a payment fails, we will attempt to process the payment
again
• Continued payment failures may result in membership suspension
or cancellation
17.3 MEMBERSHIP BENEFITS
3.1 Monthly Store Credit
Amount: $10.00 per calendar month. Distribution: Credit is
issued on the 1st day of each calendar month. Expiration: Unused
credit expires on the last day of the same calendar month
(non-cumulative).
Usage Rules: Can be applied to any product on
quietprotector.com. Can be combined with the 40% VIP discount.
Cannot be used on gift cards. Cannot be used to pay for
membership fees. Cannot be transferred, sold, or exchanged for
cash. No refund or credit given for unused amounts. No minimum
purchase required to use credit.
3.2 VIP Discount — 40% Off
Discount Amount: 40% off regular retail prices. Applicable
Items: All products on quietprotector.com.
Exclusions: Does not apply to gift cards, membership fees, items
already on sale/clearance (only one discount applies), or
shipping costs (covered separately). Stacking: Can be combined
with monthly store credit. Application: Discount applies
automatically at checkout for logged-in VIP members.
Bundles/Upsells: Discount applies to bundles and upsells at
checkout.
3.3 Free Shipping
Coverage: Free standard shipping on all orders. Geographic
Restriction: Continental United States only. Exclusions: Does

Delivery: Sent via email to your registered email address.

17.4 CANCELLATION AND REFUND POLICY
4.1 How to Cancel
Cancellation Method: Send email to vip@quietprotector.com with
subject line "Cancel VIP Membership." Required Information:
Include your full name and email address associated with
membership. Processing Time: Cancellations processed within 2
business days. Effective Date: Cancellation takes effect at the
end of your current billing period. No Phone Cancellations:
Cancellations must be submitted in writing via email.
4.2 Trial Period Cancellation
• If you cancel during the 14-day free trial period, you will
not be charged
• All benefits remain accessible until the end of the trial
period
• Store credits issued during trial will expire upon
cancellation
4.3 Post-Trial Cancellation and No-Refund Policy
ONCE THE 14-DAY FREE TRIAL PERIOD HAS ENDED AND YOUR PAYMENT
METHOD HAS BEEN CHARGED, ALL MEMBERSHIP FEES ARE
NON-REFUNDABLE.
• No refunds will be issued for any billing cycle that has
already been charged, whether partial or complete
• No refunds for partial billing periods

By enrolling in the Membership and not canceling before the end

4.4 Membership Suspension (Pause)
Temporary suspension not available at this time. Members must
cancel and re-enroll if they wish to discontinue temporarily.
4.5 Involuntary Cancellation
We reserve the right to cancel memberships for: payment failure
after multiple retry attempts, violation of terms and
conditions, fraudulent activity, or abuse of benefits. No refund
will be issued for involuntary cancellations due to violations.

5.1 Changing Billing Information

5.3 Account Security
You are responsible for maintaining the confidentiality of your
account credentials. Notify us immediately of any unauthorized
use.
17.6 PRICE CHANGES AND BENEFIT MODIFICATIONS
6.1 Price Changes
We reserve the right to change the membership fee at any time.
Notice: You will receive at least 30 days advance notice via
email. Effective Date: Price changes take effect at your next
billing cycle after the notice period. Opt-Out: You may cancel
before the price change takes effect to avoid the new rate.
Grandfathering: Not guaranteed; current price may change for
existing members.
6.2 Benefit Changes
We reserve the right to add, modify, or remove membership
benefits at any time. Notice: Material changes will be
communicated via email at least 15 days in advance. No
Compensation: No credits or refunds for benefit reductions or
removals. Acceptance: Continued use of membership after changes
constitutes acceptance.
6.3 Communication of Changes
All notices sent to the email address on file. Your
responsibility to keep email address current. Check email
regularly for important membership updates.
17.7 LIMITATIONS AND RESTRICTIONS
7.1 One Membership Per Household
Limit one active VIP membership per household. Multiple accounts
may result in cancellation without refund.
7.2 Non-Transferable
Memberships cannot be transferred, sold, or assigned to another
person. Benefits are for member's personal use only.
7.3 Commercial Use Prohibited
Membership benefits may not be used for commercial purposes.
Resale of discounted products prohibited.
7.4 Modification of Benefits
We reserve the right to substitute benefits of equal or greater
value. Giveaway prizes may be substituted with items of equal or
greater value.
17.8 GEOGRAPHIC RESTRICTIONS
8.1 Shipping and Availability
Free shipping benefit applies to Continental United States only.
Some products may not be available in all locations.
International members may participate but shipping fees will

17.9 INTELLECTUAL PROPERTY

license to view/download. Content may not be reproduced,
distributed, or shared without permission.
9.2 Trademarks
"Protector's Circle VIP," "Protector's Vault," and all related
marks are trademarks of Quiet Protector.
17.10 LIMITATION OF LIABILITY
10.1 Service Availability
We do not guarantee uninterrupted access to membership benefits.
Technical issues may temporarily affect benefit availability. No
refunds for temporary service interruptions.
10.2 Product Availability
Discounts subject to product availability. We are not
responsible if products are out of stock.
10.3 Maximum Liability
Our total liability shall not exceed the amount you paid for
membership in the 12 months preceding the claim.
17.11 DISPUTE RESOLUTION
11.1 Governing Law
These terms governed by laws of Delaware. Any disputes subject
to jurisdiction of Delaware courts.
11.2 Arbitration
Disputes may be subject to binding arbitration. Class action
waiver applies.

the remaining provisions will continue in full force and effect.
17.15 WAIVER
Our failure to enforce any right or provision shall not
constitute a waiver of such right or provision.
17.16 ACCEPTANCE OF TERMS
By enrolling in the Protector's Circle VIP Membership, you
acknowledge that you have read, understood, and agree to be
bound by these Terms and Conditions and our Privacy Policy.
18) GOVERNING LAW
Except where prohibited by law, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and the arbitration agreement is governed by the Federal Arbitration Act.
19) CHANGES TO TERMS
We may update these Terms from time to time. The Terms in effect at the time you place an order will govern that order.
